Important Update: BOI Reporting Deadline Suspended – What Small Businesses Need to Know

The Corporate Transparency Act (CTA) mandates that entities formed before January 1, 2024, submit beneficial ownership information (BOI) reports by January 1, 2025. However, a recent nationwide injunction has temporarily suspended this requirement. On December 26, 2024, the Fifth Circuit Court of Appeals reinstated the injunction, halting enforcement of the CTA’s reporting obligations until further judicial review. As a result, small businesses are currently not required to file BOI reports. The Financial Crimes Enforcement Network (FinCEN) has acknowledged the injunction and stated that reporting companies are not obligated to submit beneficial ownership information at this time. It’s important to note that this situation is evolving, and future court decisions may alter these requirements. Small business owners should stay informed about any changes to ensure compliance once the legal uncertainties are resolved.
